FlareStarter Pro License Agreement

This agreement is between the purchaser named on the order (the
"Licensee", "you") and FlareStarter (the "Licensor") and governs the
FlareStarter Pro source code (the "Software"). By purchasing a license
or accessing the private repository you agree to these terms.
1. DEFINITIONS
a. "Software" — the FlareStarter Pro source code distributed through
the Licensor's private repository, including all updates published
to it.
b. "End Product" — an application, website, or service built using
the Software that is materially different from the Software and
does not serve as a substitute for it (that is, not a template,
boilerplate, starter kit, or code generator).
c. "Seat" — one named natural person authorized to access the
Software, identified by the GitHub account granted access to the
private repository.
d. "Tier" — the license level stated on your order: Solo (1 Seat) or
Team (up to 4 Seats).
2. LICENSE GRANT
Upon full payment, the Licensor grants the Licensee a perpetual,
worldwide, non-exclusive, non-transferable, non-sublicensable license,
exercised through the Seats included in your Tier, to:
a. use, copy, and modify the Software to create an unlimited number
of End Products, commercial or non-commercial, owned by the
Licensee or by the Licensee's clients; and
b. deploy, operate, and distribute End Products without restriction,
provided the Software's source is not made available except as
permitted below.
3. SEATS
a. Only Seat holders may access, use, or modify the Software's
source code.
b. Solo includes one Seat for a person the Licensee designates
(normally the purchaser). Team includes up to four Seats for
people working within the Licensee's organization, including
contractors working on the Licensee's End Products.
c. A pending repository invitation may be cancelled and reassigned
freely. Once an invitation is accepted, that Seat is permanently
assigned to that person and is not reassigned — including when
the person leaves the organization. Additional or replacement
capacity requires purchasing an additional license.
d. Build and deployment systems (CI/CD) operated by Seat holders do
not consume Seats.
4. RESTRICTIONS
The Licensee may NOT:
a. redistribute, resell, sublicense, lease, or otherwise make the
Software or any modified version of it available in source form
to anyone who does not hold a Seat;
b. publish the Software, in whole or in substantial part, to any
public repository, registry, or website — including as part of an
End Product whose source is released publicly, to the extent that
release contains the Software;
c. use the Software to create a product that competes with the
Software or with the FlareStarter open-source project, including
any template, boilerplate, starter kit, code generator, or
training material that delivers the Software's value to third
parties; or
d. share access to the private repository with anyone who does not
hold a Seat.
5. DELIVERY AND UPDATES
The Software is delivered by inviting Seat holders' GitHub accounts to
the private repository. The license includes all updates published to
that repository for as long as the Licensor maintains the Software
("lifetime updates"). Updates and support are provided on a
reasonable-efforts basis, without a service-level commitment, through
the channels published on the Licensor's website.
6. OWNERSHIP AND OPEN-SOURCE COMPONENTS
The Software is licensed, not sold; the Licensor retains all right,
title, and interest in it. Portions of the Software derived from the
FlareStarter open-source project remain available separately under the
Apache License 2.0 at https://github.com/FlareStarter/flarestarter, and
nothing in this agreement restricts rights granted by that license to
that separately obtained code. Third-party dependencies are governed by
their own licenses.
7. FEES AND REFUNDS
The license fee is a one-time payment per license and Tier. Because
delivery grants immediate and irrevocable access to the complete source
code, fees are non-refundable once repository access has been granted,
to the maximum extent permitted by applicable law. Initiating a payment
dispute or chargeback after access has been granted is a material
breach of this agreement.
8. TERMINATION
This license terminates automatically upon material breach of its
terms. Upon termination, repository access is revoked and the Licensee
must stop using the Software for new development and destroy source
copies in its possession; End Products already built and deployed may
continue to operate. Sections 6, 7, 9, 10, and 11 survive termination.
9. NO WARRANTY
THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS
OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF
MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND
NON-INFRINGEMENT.
10. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE LICENSOR SHALL NOT BE
LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR
EXEMPLARY DAMAGES ARISING FROM OR RELATING TO THIS AGREEMENT OR THE
SOFTWARE, AND THE LICENSOR'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED
THE FEES ACTUALLY PAID BY THE LICENSEE FOR THE LICENSE.
11. GENERAL
This agreement is the entire agreement regarding the Software and
supersedes prior discussions. Your purchase is governed by the version
of this agreement published in the repository at the time of purchase.
If any provision is held unenforceable, the remainder stays in effect.
This agreement is governed by the laws of the jurisdiction in which the
Licensor has its principal place of business, and disputes shall be
brought in the courts of that jurisdiction. Questions: use the contact
